1Agreement

By accessing or using deadybear.rip and the DeaDYBeaR ecosystem — Studio, Productions, BearTracker, the NFT collection, Battle Arena, Resources, and related pages (collectively, the "Service") — you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

The Service is operated by AR Consulting Pros LLC, a Florida limited liability company ("we," "us," "our"). You must be at least 13 years old to use the Service, and you must meet the minimum legal age in your jurisdiction to use any feature involving cryptocurrency or virtual wagering.

2Your Account

Some features require an account. You agree to:

• Provide accurate information when registering
• Keep your password secure and not share it
• Be responsible for all activity on your account
• Notify us promptly of any unauthorized use

One person, one account. Creating multiple accounts to farm free credits, evade a ban, or exploit referral, promotional, or wagering systems is not allowed and may result in forfeiture of credits and permanent termination.

3Credits & Generation

Studio features (image, video, and music generation) are billed in credits, purchased directly or granted on a recurring monthly basis depending on your plan.

• Purchased (top-up) credits do not expire.
• Monthly plan credits expire at the end of their granted period and do not roll over, unless stated otherwise on the pricing page at the time of purchase.
• If a generation fails due to an error on our end or an AI provider we route to, the credits charged are refunded automatically.
• Credits have no cash value, cannot be redeemed for currency, and are non-transferable between accounts.
• We may adjust the credit cost of a feature going forward; changes do not retroactively affect credits already spent.

4Acceptable Use

When using the Service, you agree NOT to generate, upload, or share content that:

• Depicts minors in sexual or compromising situations — this is an absolute zero-tolerance rule. Violators are permanently banned and reported to authorities.
• Impersonates real people in defamatory, fraudulent, or sexually explicit ways.
• Infringes on someone else's copyright, trademark, or other intellectual property.
• Promotes violence, terrorism, hate speech, or illegal activity.
• Contains graphic violence, gore, or shock content.
• Attempts to circumvent our rate limits, credit system, wagering rules, or security measures, including bots, scripts, or automated account creation.
• Includes malware, spam, or phishing content.
• Is used to bulk-train a competing AI model.
• Violates the terms of any underlying provider our Service routes to (including our AI generation providers and music distribution partner).

This also applies to photo submissions for Memories, community posts, artist profiles in Productions, and any other user-submitted content anywhere in the Service. We may remove any content and terminate accounts that violate these rules, and reserve full discretion to moderate, rank, or remove community submissions for any reason. Severe violations may be reported to law enforcement.

5Content Ownership

Your prompts and generated content

You retain rights to the prompts you write. Images, videos, and music generated from your prompts are yours to use, share, and sell, subject to the terms of the underlying AI providers, your compliance with Section 4, and your acknowledgment that AI-generated content may not qualify for traditional copyright protection in every jurisdiction.

Community, Memories & public galleries

If you mark a creation public — including Studio's Community tab, a Productions release, or a photo submitted to Memories — you grant us a worldwide, non-exclusive, royalty-free license to display it within the Service, our social channels, and marketing material, with attribution if you've set a display name. Marking a creation private removes our public-display rights going forward, but does not retract any use that already occurred.

Reference images & audio

When you upload a reference image or audio clip for generation, you confirm you have the right to use it and, if it depicts or contains a real person's likeness or voice, that they have consented to its use.

6AI Content Disclaimer

You agree not to use AI-generated content for fraud, identity theft, or to falsely claim authorship over someone else's likeness, and that you are solely responsible for how you use the content you create — including any decision to publish, sell, or distribute it.

7DeaDY BeaR NFT Collection

The DeaDY BeaR collection is a limited set of numbered, AI-generated collectible bears. Rules specific to the collection:

• Claiming, minting, or burning a bear consumes account allowances or credits as described on the relevant Studio page at the time of the action; these actions cannot be reversed once completed.
• Burning DeaDY BeaRs to create an "Alive Bear" permanently removes the burned bears from circulation.
• Trading bears through Bear Market exchanges credits between accounts at the rate offered at the time of trade — trades are final once accepted.
• Ownership of a DeaDY BeaR within the Service does not itself constitute a blockchain-based NFT unless and until such on-chain functionality is explicitly offered and you choose to use it.
• We reserve the right to adjust rarity, trait, and collection mechanics for bears not yet claimed, but will not retroactively alter bears already claimed to a user's account.

8Battle Arena & Wagering

• Outcomes are determined by the mechanics in place at the time of the battle; we do not guarantee specific odds, payout ratios, or outcomes, and may adjust battle mechanics going forward.
• You are responsible for knowing whether virtual wagering features like this are permitted where you live. If local law prohibits this kind of feature, you agree not to use it, and we may restrict access based on location.
• We may void, reverse, or freeze wagers made through account exploits, bugs, or unauthorized automation.

9Productions & Music Distribution

DeaDY BeaR Productions lets you generate music, edit and remaster tracks, produce caption or music videos, and submit finished tracks for real distribution to third-party platforms (such as Spotify and Apple Music) through our distribution partner.

• You represent that any track you submit for distribution is your own original work, or that you hold sufficient rights to distribute it, including any AI-generated elements, samples, or vocals.
• We are not responsible for a distribution partner's review timelines, takedown decisions, royalty accounting, or payout schedules — those are governed by the distribution partner's own terms, which you separately agree to when submitting a release.
• You are responsible for the accuracy and non-infringing nature of any metadata you submit (title, artist name, artwork, credits).
• Radio airplay, artist profile placement, and featured status are offered at our discretion and are not guaranteed by any subscription tier.

10BearTracker Tools

• Wallet addresses and token contract data you look up or add are used only to run the query you requested — we do not have wallet signing access and cannot move funds.
• "Safe" or "known contract" labels reflect our own analysis at a point in time, not a guarantee against risk; always do your own research before interacting with any token or contract.
• We are not liable for financial losses resulting from decisions made using BearTracker's data or tools.

11DEADY Token & DeFi Disclaimer

The DEADY token on PulseChain, and the associated swap and LP staking features, are community memecoin/DeFi features. They are NOT:

• Investment securities or financial instruments
• A guaranteed claim on the Service's revenue
• A substitute for a paid Studio subscription or credits
• Sold, marketed, or managed by us as an investment

Swapping or providing liquidity happens directly on-chain through PulseX, outside of our custody or control. Token value can fluctuate to zero, smart contracts can contain bugs, and on-chain transactions are irreversible. We are not liable for losses from token price movement, impermanent loss, gas fees, smart contract failure, or your own transaction errors. Don't interact with any of this using money you can't afford to lose, and consult a financial advisor before making any token-related decision — cryptocurrency regulation varies by jurisdiction and compliance is your responsibility.

12Payments & Subscriptions

Paid plans and credit purchases are processed via Stripe. Subscription plans auto-renew at the end of each billing period until canceled.

• You can cancel any time from your account page.
• Cancellations take effect at the end of the current billing period; you keep access to paid features through the period you've already paid for.
• Prices are listed in USD and may change with notice ahead of your next billing cycle.

13Refunds

Because each generation has a real cost to us (we pay AI providers per request), refunds are limited:

• Failed generations: credits for a generation that fails due to a technical error on our end are refunded automatically.
• Unused subscription time: generally non-refundable once a billing period has started, but you can cancel to avoid future charges.
• Account termination for violating Section 4: no refund is owed.
• Battle Arena wagers: not refundable once a battle resolves, except in cases of a confirmed technical error or exploit.

14Copyright Complaints (DMCA)

If you believe content on the Service infringes your copyright, send a notice to support@deadybear.rip including: a description of the copyrighted work, the specific URL or location of the allegedly infringing content, your contact information, and a statement made in good faith that the use is unauthorized. We will review and, where warranted, remove the content and notify the account holder. Repeat infringers are subject to account termination.

15Indemnification

You agree to indemnify and hold harmless AR Consulting Pros LLC, its owners, and operators from any claim, loss, liability, or expense (including reasonable legal fees) arising from: your use of the Service, content you generate or submit, your violation of these Terms, or your violation of any law or third-party right.

16Beta & Experimental Features

We may label some features "beta," "preview," or otherwise experimental. These are provided for testing, may change or be removed without notice, may be less reliable than the rest of the Service, and any credits spent on them are treated the same as any other generation for refund purposes — refunded only on a confirmed technical failure.

17Termination

We may suspend or terminate your account at our discretion for violating these Terms. You may close your account any time by contacting us.

• Access to paid features ends on termination.
• Your private generations remain accessible for 30 days after termination, then are deleted.
• Public generations may remain visible in community areas unless you specifically request removal.
• Sections covering content ownership, disclaimers, indemnification, and liability survive termination.

18No Warranty

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure; that generations will meet your expectations; that any specific feature will remain available indefinitely; or that any third-party AI, distribution, blockchain, or payment provider we depend on will continue operating.

19Limitation of Liability

To the maximum extent allowed by law, AR Consulting Pros LLC and its operators are not liable for indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of the Service, including its AI generation, Productions, NFT, Battle Arena, BearTracker, or crypto-related features.

Our total liability to you for any claim arising from these Terms or your use of the Service is limited to the amount you paid us in the 12 months prior to the claim, or $100, whichever is greater.

20Dispute Resolution

Before filing any claim, you agree to contact us at support@deadybear.rip and give us a reasonable opportunity to resolve the issue informally. Any dispute that can't be resolved informally will be brought exclusively in the state or federal courts located in Florida, and you consent to that jurisdiction and venue.

21Export Control & Sanctions

You may not use the Service if you are located in a country subject to a U.S. government embargo, or if you are on any U.S. government list of prohibited or restricted parties. You are responsible for complying with any export control or sanctions law that applies to you.

22General Provisions

• Severability: if any part of these Terms is found unenforceable, the rest remains in effect.
• No waiver: our failure to enforce any part of these Terms is not a waiver of our right to do so later.
• Entire agreement: these Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service.
• Assignment: you may not assign your rights under these Terms; we may assign ours in connection with a merger, acquisition, or sale of assets.
• Force majeure: we are not liable for delays or failures caused by events outside our reasonable control, including outages of AI providers, hosting, or payment processors we depend on.

23Changes to These Terms

We may update these Terms occasionally. When we do, we'll update the "Last updated" date above and, for material changes, note it prominently on the Service. Continued use after a change means you accept the updated Terms.
